General Terms and Conditions for Customer of Property Parenting Service under Brand Name of “Realty Gateway” by Company “Sheth Saga Pvt. Ltd., Gujarat” for Property Parenting Services through Website, Mobile Application or Physical Services

Terms of Use

  • By using our services, you are agreeing to be bound by the following terms and conditions. We may change these terms and conditions at any time. Your continued use of ‘Realty Gateway Website or Mobile Application for Property Parenting Services’ (hereon referred to as Digital Platform) means that you accept any new or modified terms and conditions that we come up with. Please re-visit the `Terms and Conditions for Customer for Platform use' link from time to time to stay abreast of any changes that we may introduce.
  • Wherein ‘We’ means Sheth Saga Pvt. Ltd. (1st Party) and Services under brand name “Realty Gateway” for Property Parenting Services.

1) Definitions

  • “Affiliate” shall mean, with respect to each Party, any person or entity directly or indirectly through one or more intermediary Controlling, Controlled by, or under direct or indirect common Control with a Party.
  • “Control”, “Controlled” or “Controlling” shall mean, with respect to any person or entity, any circumstance in which such person or entity is controlled by another person or entity by virtue of the latter person or entity controlling the composition of the board of directors or managers or owning the largest or controlling percentage of the voting securities of such person/entity or otherwise controlling the other.
  • “Brand” or “Brand Name” shall mean “Realty Gateway” or such other successor or replacement brand name / trade mark / service mark as may be decided by the Service Provider.
  • “Confidential Information” means and includes any and all information which is confidential to a Party including any (i) business information and business processes, (ii) any samples, formulations, specifications, data relating to any person who is monitored as part of the random surveillance process, (iii) advertising and marketing plans, (iv) any past, current or proposed development projects or plans for future development work, (v) technical, marketing, financial and commercial information whether relating to past or current or future, (vi) the commercial and business affairs of a Party, (vi) all surveillance related information including any rates and discounts and (vii) and with respect to the Service Provider shall include the Property Inquiry Database.
  • “Intellectual Property” includes ideas, concepts, creations, discoveries, inventions, improvements, know how, trade or business secrets; trademarks, service marks, domain names, designs, utility models, tools, devices, models, methods, patents, copyright (including all copyright in any designs and any moral rights), masks rights, design right, procedures, processes, systems, principles, algorithms, works of authorship, flowcharts, drawings, books, papers, models, sketches, formulas, teaching techniques, electronic codes, proprietary techniques, research projects, and other confidential and proprietary information, computer programming code, databases, software programs, data, documents, instruction manuals, records, memoranda, notes, user guides; in either printed or machine-readable form, whether or not copyrightable or patentable, or any written or verbal instructions or comments. The Property Inquiry Database shall be considered to be the Intellectual Property of the Service Provider.
  • “Intellectual Property Rights” means and includes (i) all rights, title or interest under any statute or under common law or under customary usage including in any Intellectual Property or any similar right, anywhere in the world, whether negotiable or not and whether registerable or not, (ii) any licenses, permissions and grants in Intellectual Property (iii) applications for any of the foregoing and the right to apply for them in any part of the world and (iv) all extensions and renewals thereto.
  • “Payment Facilitation Services” shall mean facilitating the receipt of service fees / consideration on the Platform either along with Platform Services or otherwise.
  • “Platform” shall mean the website and/or mobile application with a second level domain name / uniform resource locator (URL) bearing the Brand Name with any top-level domain name whether presently available for registration or made available for registration at any future date, as well as any application, software or readable or writable file to be downloaded, available for any operating system.
  • “Platform Services” shall mean internet based electronic platform in the form of an intermediary to facilitate the property inquiry, booking, purchase, transactional support and documentation through Platform.
  • “Service Provider Business” shall have the meaning as set out hereinabove and shall include Platform, Platform Services, Payment Facilitation Services and Transaction Support Services.
  • “Service Provider Content” shall mean the Platform, all the pages of the Platform, all the content contained in the Platform (excluding any third party content and advertisements), look and feel of the Platform, any and all information or content owned or controlled (e.g. by license or otherwise) by Service Provider or its Affiliates, including text, images, graphics, photographs, video and audio, and furnished by Service Provider or its Affiliates in connection with Platform Services, Transaction Support Services, Payment Facilitation Services and for the purpose of offering for sale of Products by the 1st Party.
  • “Term” shall have the meaning as set out in Section 13.1 hereto.
  • “Territory” shall mean the territory for services as may be defined time to time by the 1st Party.
  • “Property Inquiry Database” shall mean all data / information (as may be updated from time to time) about the persons/ entities including their number of family members, names, addresses, contact details, queries, made available by such persons / entities to the Service Provider or otherwise captured by the Platform that shall further include the usage, behavior, trends and other statistical information / data relating to such persons / entities, who (i) access the Platform or otherwise get invitation to the Platform or correspond with the Platform, (ii) Inquire for interest in buying or leasing immoveable property, or (iii) send any enquiry/ request with respect to the Platform, and shall include all analysis and records based on such aforementioned information, including the type, size, occupancy, design, architecture, amenities, features of the property. For the avoidance of doubt, any list, description or other grouping of consumers or customers or any derivative work from Property Inquiry Database shall be deemed to be Property Inquiry Database.
  • “Transaction Support Services” shall include services in relation to support in the booking of property, signing of agreement of sale, signing of expression of interest, payment of deposit, payment of tranches of consideration for booking and purchase of the property as may be provided time to time, and ancillary services as provided by the Sheth Saga Pvt. Ltd. on its platform or through its physical services as defined or any other additional services that may be agreed between the parties.

Interpretation

In this Agreement, unless the context otherwise requires

  1. Words importing persons or parties shall include natural person, government, entity, partnership firm, organization, operation, Company, HUF, voluntary association, LLP, joint venture, trust, limited organization, unlimited organization or any other organization having legal capacity;
  2. Words importing the singular shall include the plural and vice versa, where the context so requires;
  3. References to any law shall include such law as from time to time enacted, amended, supplemented or re-enacted;
  4. Reference to one gender shall include a reference to the other genders;
  5. References to the words “include” or “including” shall be construed without limitation;
  6. References to this Agreement or any other agreement, deed, instrument or document shall be construed as a reference to this Agreement, such other agreement, deed, instrument or document as the same may from time to time be amended, varied, supplemented or novated in accordance with the terms of this Agreement;
  7. The headings and titles in this Agreement are indicative and shall not be deemed part thereof or be taken into consideration in the interpretation or construction of this Agreement;
  8. The word ‘written’ shall include writing in electronic form and ‘signed’ shall include electronic signature or any other electronic communication which signifies the sender’s or originator’s intention to be bound by such electronic communication.

Services

  1. The 1st Party appoints the Service Provider and Service Provider accepts such appointment to make available the Service Provider Business to You the customer for smart solution to your property needs and traditional problems and in accordance with the terms of this Agreement and as further agreed in commercial understanding electronic document or any other similar or analogous electronic or other document (“Commercial Terms”) and in accordance with various Platform rules and policies including privacy policy (“Platform Policies”). The Commercial Terms and Platform Policies are deemed to have been incorporated in this Agreement by way of reference.
  2. M/s Sheth Saga Pvt. Ltd. agrees and acknowledges that Service Provider is free to provide Service Provider Business anywhere and, in any manner, and for any consideration as may be decided by Service Provider in its sole and absolute discretion.
  3. In the event of any conflict or inconsistency between the terms of this Agreement and the terms of any Commercial Terms thereto, the terms of this Agreement shall prevail to the extent of such conflict or inconsistency.

Considerations, Costs and Payments Terms:

Costs.

  1. Service Provider will bear the cost of development of the application, software and other related systems, as well as of the system for collecting data of property, real estate developers’ and for overall maintenance and operation of entire service and system.
  2. The Service Provider should be responsible for the cost of finding appropriate and suggestible property for the customer.
  3. Parties agree that the Service Provider’s services are on fees / commission basis of the total amount of property purchase amount. Parties further agree that these terms are dynamic in nature and will evolve or vary as the operating, promotional, marketing and business environment of the Service Provider or user behavior on the Platform changes and evolves and therefore the Commercial Terms will be adjusted or revised from time to time or sometime occasionally or frequently by the Parties as necessary or appropriate during the Term of the Agreement to accurately reflect the evolution of the aforesaid environment and conditions. Such revisions would be with the mutual consent of the Parties which consent can be oral, written or implied. For any oral consent, Service Provider may on reasonable basis confirm such oral consent within reasonable time from such consent and through written records including through electronic communications.

Payment Terms

  1. Thereby as 1st tranche of fees / commission Service Provider shall be paid 34% amount at the time of booking of the property.
  2. 2nd tranche of fees / commission of 33% amount before signing of Agreement of Sale for the property to be purchased.
  3. 3rd and Final tranche of fees / commission of 33% amount before execution of Sale Deed for the property.
  4. Taxes: Each Party shall be responsible for any and all taxes on its business, and taxes based on its net income or gross receipts. However, Service Provider shall be entitled to additionally charge Goods and Service Tax or any other indirect or transaction taxes as applicable on one or more of the Service Provider Business and Service Fees.

Intellectual Property

  1. Intellectual Property Rights in Relation To Brand Name
  2. 1st Party acknowledges Service Provider’s absolute ownership of, interest in and rights to the Brand Name and the Platform.
  3. Without limitation to the foregoing, 1st Party acknowledges and agrees that all goodwill in or associated with the Brand Name, including any goodwill generated or arising by or through Service Provider’s or 1st Party’s activities pursuant to this Agreement shall accrue for the benefit of and shall belong exclusively to the Service Provider.
  4. No right or interest in the Brand Name are granted or deemed to be granted by the Service Provider to the 1st Party.
  5. Intellectual Property Rights In Relation To Service Provider Content and Service Provider Business.
    Service Provider shall retain sole ownership of all the intellectual properties, know how or other proprietary rights in the Service Provider Content and Service Provider Business and no right or interest is granted or shall be deemed to be granted by Service Provider to the 1st Party. To the extent Service Provider Content contains any proprietary content or information of the 1st Party, the 1st Party hereby grants a royalty - free and world-wide license to such content or information including a right to creative derivative product of such content or information.

Confidentiality

  1. Each Party may disclose to the other such Confidential Information as may be necessary to further the performance of this Agreement.
  2. The receiving Party undertakes to the disclosing Party:
    • to keep confidential the disclosing Party’s Confidential Information;
    • not to disclose the Confidential Information in whole or in part to any other person without the disclosing Party’s prior written consent, except to the receiving Party’s employees, agents and sub-contractors involved in the performance of this Agreement on a confidential and need to know basis and provided that employees, agents and sub-contractors are bound by written agreements of confidentiality which are at least as stringent as the provisions of this Agreement; and
    • to use the Confidential Information solely in connection with the performance of this Agreement.
  3. The aforementioned confidentiality obligations shall not extend to Confidential Information which:
    • has ceased to be confidential without default on the part of the receiving Party;
    • has been received from a third party who did not receive it in confidence;
    • the receiving Party is required by any court, government or other regulatory body to disclose, but only to the extent required by law, provided that the receiving Party gives the disclosing Party written notice as soon as practicable of such requirement and consult in good faith the disclosing party on the content and manner of any disclosure.
    • Upon request by the disclosing Party, the receiving Party must deliver to the disclosing Party all documents and other materials in any medium in its possession or control which contain or refer to the disclosing Party’s Confidential Information. If the documents or other materials are not capable of being returned, the receiving Party must destroy and certify the destruction of such documents and materials to the reasonable satisfaction of the Disclosing Party.
    • Your and 1st Party personal / sensitive personal data / information shall be governed by the Privacy Policy of the Platform, which terms (including all amendments, modifications, reinstatements and substitutions) shall be deemed to be incorporated herein by way of reference.

Registration

By registering, you certify that all information you provide, now or in the future, is accurate.

If you do not login at Platform for a continuous period of 180 days your registration may get automatically cancelled.

M/s Sheth Saga Pvt. Ltd. reserves the right, in its sole discretion, to deny you access to this application or any portion thereof immediately, without notice for the following reasons

  1. for any unauthorized access or use by you
  2. if you assign or transfer (or attempt the same) any rights granted to you under this Agreement;
  3. if you violate any of the other terms and conditions of this User Agreement You agree to get periodic SMS & Whatsapp alerts. You agree to get periodic Email alerts. You agree to get periodic newsletters.

License

  • M/s Sheth Saga Pvt. Ltd., hereby grants you a limited, non-exclusive, non-assignable and non-transferable license to access Platform provided and expressly conditioned upon your agreement that all such access and use shall be governed by all of the terms and conditions set forth in these “Terms and Condition for Customer for Platform Use”.

Copyright & No Retransmission Of Information

  • Platform as well as the design and information contained in this application is the valuable, exclusive property of M/s Sheth Saga Pvt. Ltd., and nothing in this Agreement shall be construed as transferring or assigning any such ownership rights to you or any other person or entity. All information on Platform is the proprietary, confidential property of M/s Sheth Saga Pvt. Ltd. and cannot be repeated for any reason outside the Platform. You agree not to repeat or rebroadcast in any way any of the information made on Platform for any reason whatsoever. You agree that if you do repeat or re-post any of Platform information by any mean, you will be liable for actual and punitive damages as determined by M/s Sheth Saga Pvt. Ltd. and additional damages to be determined by a Court of Law.
  • You may not resell, redistribute, broadcast or transfer the information or use the information in a searchable, machine-readable database unless separately and specifically authorized in writing by M/s Sheth Saga Pvt. Ltd. prior to such use. You may not rent, lease, sublicense, distribute, transfer, copy, reproduce, publicly display, publish, adapt, store or time-share, any part thereof, or any of the information received or accessed therefrom to or through any other person or entity unless separately and specifically authorized in writing by M/s Sheth Saga Pvt. Ltd. prior to such use. In addition, you may not remove, alter or obscure any copyright, legal or proprietary notices in or on any portions of Platform without prior written authorization Except as set forth herein, any other use of the information contained in this application requires the prior written consent of M/s Sheth Saga Pvt. Ltd. and may require a separate fee.

Delays In Services

  • Neither M/s Sheth Saga Pvt. Ltd. (including its and their directors, employees, affiliates, agents, representatives or subcontractors) shall be liable for any loss or liability resulting, directly or indirectly, from inaccuracy of information, delays or interruptions due to electronic or mechanical equipment failures, telephone interconnect problems, defects, weather, strikes, walkouts, fire, acts of God, riots, armed conflicts, acts of war, or other like causes. M/s Sheth Saga Pvt. Ltd. shall have no responsibility to provide you access to Platform while interruption of Platform is due to any such cause shall continue.

Liability Disclaimer

  • YOU EXPRESSLY AGREE THAT USE OF THE APPLICATION IS AT YOUR SOLE RISK.
  • THE CONTENTS, INFORMATION, SOFTWARE, PRODUCTS, FEATURES AND SERVICES PUBLISHED ON THIS APPLICATION MAY INCLUDE INACCURACIES OR TYPOGRAPHICAL ERRORS. CHANGES ARE PERIODICALLY ADDED TO THE CONTENTS HEREIN. M/S SHETH SAGA PVT. LTD. AND/OR ITS RESPECTIVE SUPPLIERS MAY MAKE IMPROVEMENTS AND/OR CHANGES IN THIS APPLICATION AT ANY TIME. THIS WEB SITE MAY BE TEMPORARILY UNAVAILABLE FROM TIME TO TIME DUE TO REQUIRED MAINTENANCE, TELECOMMUNICATIONS INTERRUPTIONS, OR OTHER DISRUPTIONS. M/S SHETH SAGA PVT. LTD. (AND ITS OWNERS, SUPPLIERS, CONSULTANTS, ADVERTISERS, AFFILIATES, PARTNERS, EMPLOYEES OR ANY OTHER ASSOCIATED ENTITIES, ALL COLLECTIVELY REFERRED TO AS ASSOCIATED ENTITIES HEREAFTER) SHALL NOT BE LIABLE TO USER OR MEMBER OR ANY THIRD PARTY SHOULD NOT EXERCISE ITS RIGHT TO MODIFY OR DISCONTINUE ANY OR ALL OF THE CONTENTS, INFORMATION, SOFTWARE, PRODUCTS, FEATURES AND SERVICES PUBLISHED ON THIS APPLICATION.
  • M/S SHETH SAGA PVT. LTD. AND/OR ITS RESPECTIVE ASSOCIATED ENTITIES MAKE NO REPRESENTATIONS ABOUT THE SUITABILITY OF THE CONTENTS, INFORMATION, SOFTWARE, PRODUCTS, FEATURES AND SERVICES CONTAINED ON THIS APPLICATION FOR ANY PURPOSE. ALL SUCH CONTENTS, INFORMATION, SOFTWARE, PRODUCTS, FEATURES AND SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. M/S SHETH SAGA PVT. LTD. AND/OR ITS ASSOCIATED ENTITIES HEREBY DISCLAIM ALL WARRANTIES AND CONDITIONS WITH REGARD TO THESE CONTENTS, INFORMATION, SOFTWARE, PRODUCTS, FEATURES AND SERVICES, INCLUDING ALL IMPLIED WARRANTIES AND CONDITIONS OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND AVAILABILITY.

AND/OR ITS ASSOCIATED ENTITIES BE LIABLE FOR ANY DIRECT, INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL OR CONSEQUENTIAL DAMAGES ARISING OUT OF OR IN ANY WAY CONNECTED WITH THE USE OF THIS APPLICATION OR WITH THE DELAY OR INABILITY TO USE THIS APPLICATION, OR FOR ANY CONTENTS, INFORMATION, SOFTWARE, PRODUCTS, FEATURES AND SERVICES OBTAINED THROUGH THIS APPLICATION, OR OTHERWISE ARISING OUT OF THE USE OF THIS APPLICATION, WHETHER BASED ON CONTRACT, TORT, STRICT LIABILITY OR OTHERWISE, EVEN IF M/S SHETH SAGA PVT. LTD. OR ANY OF ITS ASSOCIATED ENTITIES HAS BEEN ADVISED OF THE POSSIBILITY OF DAMAGES.

Use Of Message Boards, Chat Rooms And Other Communication Forums

If this Application contains message/bulletin boards, chat rooms, or other message or communication facilities (collectively, "Forums"), you agree to use the Forums only to send and receive messages and material that are proper and related to the particular Forum. By way of example, and not as a limitation, you agree that when using a Forum, you shall not do any of the following:

  • Defame, abuse, harass, stalk, threaten or otherwise violate the legal rights (such as rights of privacy and publicity) of others.
  • Publish, post, distribute or disseminate any defamatory, infringing, obscene, indecent or unlawful material or information.
  • Upload files that contain software or other material protected by intellectual property laws (or by rights of privacy of publicity) unless you own or control the rights thereto or have received all necessary consents.
  • Upload files that contain viruses, corrupted files, or any other similar software or programs that may damage the operation of another's computer.
  • Conduct or forward surveys, contests, or chain letters, for promotion or any other purposes without prior permission of M/s Sheth Saga Pvt. Ltd.
  • Download any file posted by another user of a Forum, that you know, or reasonably should know, cannot be legally distributed in such manner.

Equipment And Operation

  • You shall provide and maintain all telephone/internet and other equipment necessary to access Platform, and the costs of any such equipment and/or telephone/internet connections or use, including any applicable taxes, shall be borne solely by you. You are responsible for operating your own equipment used to access Platform, and M/s Sheth Saga Pvt. Ltd. shall not be liable for any damage caused to it by use of Platform, directly or indirectly.

Information Disclaimer

  • You acknowledge that the information provided through Platform is compiled from sources, which are beyond the control of M/s Sheth Saga Pvt. Ltd. Though such information is recognized by the parties to be generally reliable, the parties acknowledge that inaccuracies may occur and M/s Sheth Saga Pvt. Ltd. does not warrant the accuracy or suitability of the information. For this reason, as well as the possibility of human and mechanical errors and other factors, YOU ACKNOWLEDGE THAT INFORMATION IS PROVIDED TO YOU ON AN "AS IS, WITH ALL FAULTS" BASIS. M/S SHETH SAGA PVT. LTD. You assume full responsibility for implementing sufficient procedures and checks to satisfy your requirements for the accuracy and suitability of Platform, including the information, and for maintaining any means, which you may require for the reconstruction of lost data or subsequent manipulations or analyses of the information under the User Agreement.
  • YOU AGREE THAT M/S SHETH SAGA PVT. LTD. (INCLUDING ITS AND THEIR OFFICERS, DIRECTORS, EMPLOYEES, AFFILIATES, GROUP COMPANIES, AGENTS, REPRESENTATIVES OR SUBCONTRACTORS) SHALL NOT IN ANY EVENT BE LIABLE FOR ANY SPECIAL, INCIDENTAL OR CONSEQUENTIAL DAMAGES ARISING OUT OF THE USE OR INABILITY TO USE PLATFORM FOR ANY PURPOSE WHATSOEVER. M/S SHETH SAGA PVT. LTD. AND IT'S AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES AND AGENTS SHALL HAVE NO LIABILITY IN TORT, CONTRACT, OR OTHERWISE TO USER AND/OR ANY THIRD PARTY.

    • The links in this Application will allow you to leave Platform. The linked applications/sites are not under the control of M/S Sheth Saga Pvt. Ltd. has not reviewed, nor approved these sites and is not responsible for the contents or omissions of any linked application/site or any links contained in a linked site. The inclusion of any linked application/site does not imply endorsement by M/S Sheth Saga Pvt. Ltd. of the information.

    Indemnification

    • YOU SHALL INDEMNIFY, DEFEND AND HOLD HARMLESS M/S SHETH SAGA PVT. LTD. (INCLUDING ITS AND THEIR OFFICERS, DIRECTORS, EMPLOYEES, AFFILIATES, GROUP COMPANIES, AGENTS, REPRESENTATIVES OR SUBCONTRACTORS) FROM ANY AND ALL CLAIMS AND LOSSES IMPOSED ON, INCURRED BY OR ASSERTED AS A RESULT OF OR RELATED TO:
    1. your access and use of Platform
    2. any non-compliance by user with the terms and conditions hereof; or
    3. any third-party actions related to users’ receipt and use of the information, whether authorized or unauthorized. Any clause declared invalid shall be deemed severable and not affect the validity or enforceability of the remainder. These terms may only be amended in a writing signed by M/S Sheth Saga Pvt. Ltd. _______

    Conflicting Terms

    • If there is any conflict between this User Agreement and other documents, this User Agreement shall govern, whether such order or other documents is prior to or subsequent to this User Agreement, or is signed or acknowledged by any director, officer, employee, representative or agent of M/S Sheth Saga Pvt. Ltd.

    Entire Agreement

    • This User Agreement constitutes the entire agreement between the parties, and no other agreement, written or oral, exists between you and M/S Sheth Saga Pvt. Ltd. By using the Information on Platform, you assume full responsibility for any and all gains and losses, financial or otherwise, experienced, suffered or incurred by you. M/S Sheth Saga Pvt. Ltd. does not guarantee the accuracy, completeness or timeliness of, or otherwise endorse in any way, the views, opinions or recommendations expressed in the Information, does not give advice, and does not advocate the purchase or sale of any product of any nature by you or any other individual.     Termination

    This User Agreement and the license rights granted hereunder shall remain in full force and effect unless terminated or canceled for any of the following reasons:

    1. for any unauthorized access or use by you
    2. if you assign or transfer (or attempt the same) any rights granted to you under this Agreement;
    3. if you violate any of the other terms and conditions of this User Agreement. Termination or cancellation of this Agreement shall not effect any right or relief to which M/S Sheth Saga Pvt. Ltd. may be entitled, at law or in equity. Upon termination of this User Agreement, all rights granted to you will terminate and revert to M/S Sheth Saga Pvt. Ltd. Except as set forth herein, regardless of the reason for cancellation or termination of this User Agreement, the fee charged if any for access to Platform or for Physical efforts or during its use, is non-refundable for any reason.

    Jurisdiction

  • The terms of this agreement are exclusively based on and subject to Indian law. You hereby consent that this Agreement shall be governed under the laws of India, and the territorial jurisdiction of Ahmedabad City, Gujarat should apply to the parties and, any dispute arising out of the present agreement. Use of this website is unauthorized in any jurisdiction that does not give effect to all provisions of these terms and conditions, including without limitation this paragraph.
